Board of Directors

While day-to-day operations are led by the Foundation’s President, the Director-President relationship is an active partnership, and the appropriate involvement of the directors is both critical and expected. Voting directors are elected by the Board and are legal fiduciaries of the organization with the duties of loyalty, obedience and care as defined below:

Duty of Loyalty: Put the organization’s interests ahead of any private interests.

Duty of Care: Devote the necessary time and attention to the affairs of the organization to enable prudent, reasonable and informed decisions; be informed, ask questions, participate in deliberations, and exercise prudent judgment.

Duty of Obedience: Carry out the purposes of the organization as defined in the articles of incorporation, bylaws and mission and obey all applicable local, state, and federal laws.
