Bylaws of the Friends of the UNC Libraries
ARTICLE I. NAME
The name of this organization shall be: Friends of the University of Northern Colorado Libraries.
ARTICLE II. PURPOSE
The purpose of this organization shall be:
(a) To promote the growth and usefulness of the University Libraries.
(b) To increase the interest of the community in developing library resources unique to this area and the State of Colorado.
(c) To attract bequests and gifts of books, manuscripts and appropriate materials.
(d) To sponsor exhibits, programs and brochures.
(e) To fulfill a greater realization of the significance of the UNC Libraries.
ARTICLE III. MEMBERSHIP AND DUES
Section 1. Membership shall be open to all persons interested in furthering the purposes stated in Article II.
Section 2. The fiscal year shall be June 1 to May 31.
Section 3. Dues for membership shall be determined by the general membership.
Section 4. Dues of new members paid during the fourth (4th) quarter of the year shall be credited to the following fiscal year.
Section 5. Members shall have access to the UNC Libraries, receive the UNC Library Newsletter and shall be notified of special events sponsored by the Libraries.
ARTICLE IV. MEETINGS
There shall be four (4) regular meetings of the Friends. All members shall be notified of meetings and ten (10) members present shall constitute a quorum. The spring meeting is designated as the Annual Meeting. Other meetings may be called at the discretion of the Executive Committee.
ARTICLE V. OFFICERS
Section 1. The elected officers of the organization shall be: President, First Vice President, Second Vice President, Secretary, Treasurer and Chair of the Mari Michener Gallery Coordinating Committee.
Section 2. The appointed officers shall be: Corresponding Secretary, Historian and Parliamentarian.
Section 3. The Executive Committee shall be the elected officers, immediate past president, appointed officers and a representative of the Libraries.
ARTICLE VI. ELECTIONS
Section 1. The President, First Vice President, Second Vice President, Secretary, Treasurer and Chair of the Mari Michener Gallery Coordinating Committee shall be elected biennially.
Section 2. The President shall appoint a nominating committee of five members to select a list of officers ten (10) days prior to the date of the biennial election meeting.
Section 3. The election shall be held at the biennial meeting which shall be the spring meeting in the odd numbered years.
Section 4. The newly-elected officers shall assume their responsibilities at the close of the biennial meeting.
ARTICLE VII. DUTIES OF OFFICERS
Section 1. The President shall preside at all meetings, appoint a Corresponding Secretary, Historian and Parliamentarian, and all standing committees and carry on any other duties which are essential to this office.
Section 2. The First Vice President shall be in charge of program planning and shall preside at any meetings in the absence of the President.
Section 3. The Second Vice President shall serve as membership chairman and shall preside at any meetings when the President and First Vice President are absent.
Section 4. The Recording Secretary shall record the attendance at all meetings and record the minutes of the proceedings for all meetings.
Section 5. The Treasurer shall collect all dues and monies, and administer all funds as directed by the Executive Committee.
Section 6. The Chair of the Mari Michener Gallery Coordinating Committee shall guide the committee to: 1) identify, recruit, and schedule artists for exhibits, 2) handle contracts with artists and associated activities, 3) design, write, and edit copy for publicity purposes, 4) schedule and operate receptions, and 5) assist artists in assembling and dismantling exhibits.
Section 7. The Corresponding Secretary shall keep a list of the members and their addresses; shall notify members of the time and place of meetings and shall conduct the correspondence of the organization.
Section 8. The Historian shall assemble memorabilia and write in narrative form a record of the proceedings of the Friends during the term of office.
Section 9. The Parliamentarian shall advise the presiding officer, Executive Committee members and the members about proper parliamentary procedure when requested. The Parliamentarian shall maintain a file of current Bylaws, Standing Rules and a copy of the latest edition of the rules of order authorized by the organization.
Section 10. The Executive Committee shall manage the affairs of the Friends between meetings and direct the disbursement of funds. It shall fill by appointment any vacancies occurring in any office on or in the Executive or in other committees to finish an unexpired term.
ARTICLE VIII. AMENDMENTS
Section 1. These Bylaws may be amended at any regular meeting by a two-thirds (2/3) vote of members present and voting.
Section 2. All members shall be notified in writing of the changes in Bylaws to be considered in the call to the meeting, which shall go out ten (10) days prior to the meeting.
ARTICLE IX. PARLIAMENTARY PROCEDURE
Robert's Rules of Order, Newly Revised, when not in conflict with these Bylaws, shall govern the proceedings of this organization.

STANDING RULES
1. The UNC Foundation shall administer the funds of the Friends.

2. The UNC Foundation shall administer an interest-bearing account with tax exempt status for funds in non-use by the Friends for Friends as income.

3. The UNC Foundation will solicit for contributions which will include the Friends.

4. The UNC Foundation will audit the Friends' accounts in a routine manner.

5. The Friends regular membership dues shall be:
- Fifteen dollars ($15) per year to be paid on June first.
- Senior Citizen (65+) membership dues shall be ten dollars ($10) per year to be paid on June first.
- Student membership dues shall be five dollars ($5) per year to be paid on June first.
- Life membership shall be available at $150. Life members are invited to become supporting members by contributing ten dollars ($10) per year.*
Annual Gift Levels shall be:
- Donor $100 - $249
- Patron $250 - $499
- Benefactor $500 or more

6. The Friends will be responsible for six receptions a year at which times artists will be provided exhibit space in the Mari Michener Gallery.

7. Founders' Day was February 23, 1973, at which time the Bylaws were adopted by the Friends.

8. The Friends will support and provide refreshments for the exhibits functions at the Library.

These Standing Rules were extracted from the complete file of Minutes by the Parliamentarian, Elmer Bachenberg, as requested first in November of 1987, and amended on January 24, 1992, and February 24, 1998.
*Purpose of Life Memberships: These donations will enable the Friends to add monies to the Perpetual Library Endowment Fund and help to increase its accrued interest which will then be used in support of special UNC Libraries' projects.
